From what I understand it's a 'new evolution' of LJ - same base code, but with a bunch of improvements. It's in beta test right now, invite code only, and that's about the extent of my knowledge. :P
It's intended to be a more fandom-friendly, less corporatized version of LJ - like LJ used to be in the olden days, allegedly, but with various improvements/changes to the structure, like giving you greater control over who is allowed to read your posts vs. whose posts you want to read (you have a 'Circle' instead of a 'Friends List'). It's supposed to be compatible with LJ, so if you have an OpenID you can comment in both places, import your journal, things like that.
Right now it seems like people I know who have accounts there are still cross-posting everything to LJ, so... enh. I am also somewhat dubious just because every other LJ-clone (GJ, IJ, DJ) has eventually foundered and/or died entirely under the weight of their users. It's funny how you seem to need money to keep a service running!
Hrm, interesting... I hadn't heard about it but I've been away from LJ for weeks. Would be nice to see it take off, but I agree with curtana above that it's funny how you need money to keep a service going.

From someone else on my friendslist, I learned that Dreamwidth's programming is based on LiveJournal code.
But it's "open source".
And no advertising.
You can import your LJ over there. (not sure how).
It's currently working, but not quite active yet.
You can go look around now with an "open ID" (such as your LJ ID).
Currently, only the charter members (and their invitees) are members. You can join before April 30th if a current member invites you.
Dreamwidth becomes fully active on April 30th. Then, anyone can join.
NOTE: I may be misquoting, but that was my interpretation of what I've read. Take what I've said with a margin for error.
